Vicat has entered exclusive negotiations to acquire Cemex’s ready-mixed concrete and aggregates operations in southeastern France.

The proposed transaction covers Cemex Granulats Rhône Méditerranée, Cemex Béton Rhône Alpes and Cemex Béton Sud Est, comprising 48 ready-mixed concrete plants, nine aggregates quarries, related services and certain joint-venture interests. The assets span the Rhône Valley and Provence-Alpes-Côte d’Azur, including the Mediterranean corridor from Marseille to Nice.

Vicat said the acquisition would complement its existing regional footprint and generate industrial, commercial and logistics synergies, particularly with its cement business. It would also support the deployment of lower-carbon concrete through greater control of mix designs and increased use of supplementary cementitious materials.

Completion is expected before 31 December 2026, subject to employee consultation, final transaction documentation and competition approval. Financial terms were not disclosed.

Reflecting the proposed acquisition and potential further bolt-on investments, Vicat has revised its financial leverage target to 1.3–1.5 times for 2026–27, compared with 1.5 times at year-end 2025.
